Smile Marketing provides digital marketing, strategy, creative, and development services, including but not limited to:Marketing Strategy & Project ManagementCreative & Content ProductionDigital Marketing & Campaign ManagementWebsite Development & AI Technology IntegrationThe specific scope of services for each project will be outlined in a separate Proposal or Statement of Work (SOW) agreed upon by both parties.

Client Obligations
To ensure the success of our campaigns, the Client agrees to:Provide all necessary access to accounts (e.g., Facebook Business Manager, Google Ads, Website CMS) in a timely manner.

Supply all required creative assets (images, logos, copy) unless otherwise agreed.Review and approve materials within reasonable timeframes.Ensure that all goods, services, and claims promoted in the advertising are legal and comply with applicable laws.

Fees and Payment

Service Fees
Payment terms for our management and service fees are strictly 7 days from the invoice date. Invoices must be paid by the due date stated on the invoice.
Third-Party Ad SpendUnless explicitly stated otherwise in writing, Service Fees do not include advertising spend.The Client understands that media costs (e.g., payments to Facebook, Instagram, Google) are paid directly to the respective platform.
The Client is responsible for ensuring their credit card or payment method on these platforms is valid and has sufficient funds.Smile Marketing is not liable for paused campaigns due to payment failures on third-party platforms.

Intellectual Property

Client Content
The Client retains ownership of all assets, trademarks, and content provided to us. You grant us a license to use these materials solely for the purpose of fulfilling our services.

Agency Work
Upon full payment of all fees, Smile Marketing grants the Client a perpetual, non-exclusive license to use the creative materials and copy produced specifically for the Client's campaigns.

Third-Party Platforms & Compliance (Facebook/Meta Disclaimer)

This website and our services are not part of the Facebook website or Facebook Inc. Additionally, this site is NOT endorsed by Facebook in any way. FACEBOOK is a trademark of FACEBOOK, Inc.

Platform Policies
We adhere to the advertising policies of third-party platforms (e.g., Meta Advertising Standards, Google Ads Policies). However, we do not own or control these platforms. We are not liable for: Account suspensions, bans, or restrictions imposed by Facebook, Google, or other platforms. Changes to platform algorithms that affect ad performance. Delays in ad approval by the platform.

No Guarantees
While Smile Marketing employs industry best practices and professional expertise to achieve the Client's goals: We do not guarantee specific results, including but not limited to a specific number of leads, sales, conversion rates, or Return on Ad Spend (ROAS).
Digital marketing results are influenced by numerous factors outside our control, including market trends, competitor activity, and platform changes.

Limitation of Liability
To the maximum extent permitted by law, Smile Marketing shall not be liable for any indirect, incidental, special, or consequential damages resulting from the use of our services. Our total liability for any claim arising out of these Terms shall not exceed the amount paid by the Client to us during the three (3) months preceding the event giving rise to the claim.9. TerminationEither party may terminate the service agreement with 30 days' written notice. Upon termination: The Client must pay for all services rendered up to the termination date.We will return all Client passwords and access rights.

Governing Law
These Terms shall be governed by and construed in accordance with the laws of New South Wales, Australia. Any disputes relating to these Terms shall be subject to the exclusive jurisdiction of the courts of New South Wales.11.
